Terms & Conditions

Ideopolis LLC offers wholesale pricing on selected Alphabotz products to approved registered retailers. As part of the registration process, requesters must agree to the following terms and conditions:

GENERAL

By submitting a request for a registered retailer account, you agree to abide by these Terms and Conditions for as long as you remain a registered retailer with Ideopolis LLC. Failure to abide by these Terms and Conditions may constitute grounds for termination of your registered retailer account and immediate removal of your access to wholesale pricing.
By submitting a request for a registered retailer account, you certify that you or your company are a legitimate and certified retailer or reseller and that the information provided to Ideopolis LLC is true and complete to the best of your knowledge.
You may sell Alphabotz products through legal and legitimate channels, however, you also agree that any Ideopolis LLC product purchased by you or your company at the wholesale price will not be sold outside of self-standing retail stores (including but not limited to catalogues, websites, and/or mail order or any other method other than directly to end-users from a registered retail establishment) for less than the Suggested Retail Price (SRP) without the expressed consent of Ideopolis LLC.
Ideopolis LLC reserves the right to deny wholesale pricing to any requester, to limit order quantities, and/or cancel any registered retailer account at any time and at our sole discretion without cause or liability.
Ideopolis LLC reserves the right to change the wholesale price and/or the suggested retail prices of our Alphabotz products appearing in our sales literature or on our website without prior notification.

Information submitted by you to Ideopolis LLC is subject to our Privacy Policy published at www.alphabotz.com/privacy.html
All Alphabotz and Ideopolis content, design, logos, graphics, songs, trade names, web pages, and other materials identified with our products are copyright protected materials owned by Ideopolis LLC. Copying, downloading, and distributing these materials in any manner not connected to the direct promotion of Alphabotz or Ideopolis products without the expressed permission of Ideopolis LLC is strictly prohibited.

ORDERS and UNDAMAGED RETURNS

All orders are subject to acceptance by Ideopolis LLC.
Ideopolis LLC will accept returns of unopened merchandise in new condition and still in its original packaging (including shrink-wrap) for refund, credit, or exchange within 30 days after your receipt of shipment. Refunds, credits, or exchanges will not be issued until the returned merchandise has been inspected, verified to be in new condition in original packaging, and accepted back into inventory by Ideopolis LLC or its designated agent. Ideopolis LLC reserves the right to reject returned merchandise based on its condition upon our receipt. Ideopolis LLC will not be responsible for shipping costs associated with the return of merchandise.
Undamaged returns are subject to a 20% restocking fee.

SHIPPING ERRORS and/or DAMAGED MERCHANDISE

You must notify Ideopolis LLC of any shipping errors (including but not limited to shortages or incorrectly shipped items) or merchandise damaged during transit within 7 days of receipt of shipment. No claim will be considered after this period. Notification of a claim can be sent to wholesale@alphabotz.com .
Damaged or defective merchandise, reported by you within 7 days of receipt, will be replaced with like product(s) as soon as possible after receipt and inspection of the damaged merchandise by Ideopolis LLC or its designated agent.

SHIPPING

Shipping quotes are for all items sent to one address.
Any delivery dates quoted either verbally or otherwise are estimates only and cannot be guaranteed.
Online price quotes for shipping are estimates based on recently available shipping rates. Ideopolis LLC reserves the right to adjust actual shipping charges to cover our actual shipping costs.
Ideopolis LLC is not responsible for late deliveries caused by unforeseen obstacles or circumstances beyond its reasonable control including, but not limited to, acts of God, war, terrorism, shortages of raw materials, strikes, disruptions to our own business operations or those of any of our suppliers, and/or technical difficulties. Ideopolis LLC is not responsible for damages resulting from late deliveries.
Ideopolis LLC will make every effort to process and ship wholesale orders within 2 business days of order receipt.
Requests for international shipments will be reviewed and international shipping and handling quoted by Ideopolis LLC on a case-by-case basis. Ideopolis LLC reserves the right to decline international orders. International clients are responsible for all applicable customs, tariffs, duties, taxes, fees, and charges.

PAYMENTS

Payment terms are prepaid. Ideopolis LLC accepts credit card payments through PayPal. PayPal provides you with the ability to pay via Visa, MasterCard, American Express, and Discover Credit or Debit Cards. For your security Ideopolis LLC does not store customer credit or debit card information.

PayPal also provides you with the ability to pay via an existing PayPal account or an eCheck (electronic bank transfer) should you choose.
Ideopolis LLC will review requests for payment via standard business or personal check on a case-by-case basis. In the event that an order is paid for by check, the check must clear before the order will be shipped. Returned checks are subject to a service charge.
C. O. D.’s will not be accepted.

CONFIDENTIALITY

You acknowledge that wholesale prices on Alphabotz merchandise are confidential and you agree not to disclose wholesale pricing information to other parties without the expressed consent of Ideopolis LLC.
You understand that the retailer/wholesale pricing section of the Alphabotz website ( www.alphabotz.com ) is restricted by password and that access is for registered retailers only. You agree that any passwords provided to you by Ideopolis LLC are confidential and cannot be disclosed to or shared with other parties or published in any way without the expressed consent of Ideopolis LLC.
